Elon Musk holds significant power within SpaceX due to his control over ‘super voting’ shares. This structure is reportedly advantageous to Musk while possibly disadvantaging other shareholders, according to corporate governance experts.
In January, SpaceX provided Musk, its founder and CEO, with a substantial compensation package comprising 1.3 billion restricted shares. These shares were tied to SpaceX’s ambitious goals of establishing a Mars colony with one million inhabitants and deploying advanced data centers in orbit.
Despite not yet fulfilling these objectives, Musk can still vote these 1.3 billion shares in shareholder decisions. This situation was disclosed in SpaceX’s offering prospectus released recently. Ann Lipton, a law professor at the University of Colorado, Boulder, commented on this unconventional arrangement, noting it allows Musk to bypass traditional corporate governance rules.
“I have never heard of this,” Lipton remarked. “He basically found a way to hack the normal rules of corporate organization.”
These restricted shares are part of several atypical governance strategies SpaceX has adopted as it prepares for what may be the largest initial public offering (IPO) to date. The company, known for its rocket development and Starlink satellite internet service, has been valued at over $1.25 trillion.
SpaceX also disclosed that it would not have a majority of independent directors on its board and will not use a committee of independent board members to determine executive compensation. Additionally, its governance documents require shareholder claims under federal securities law to be settled through arbitration rather than court litigation.
These measures seem primarily beneficial to Musk himself, granting him greater oversight over the company. He currently controls 85 percent of shareholder votes. This setup enables Musk to appoint more insiders to SpaceX’s board, select those who decide his compensation, and shield himself from most shareholder lawsuits, as per experts analyzing the governance arrangements.
